Terms of Service

1. Acceptance of Terms
Welcome to Kadû. These Terms of Service (“Terms”) are a
legal agreement between you and Kadû Inc. (“Kadû,”
“we,” “us,” or “our”) governing
your access to and use of our mobile applications (Kadû and Kadû Pro),
our website at kadu.app, and any related services (collectively, the
“Platform”).
By downloading, registering for, or using the Platform, you confirm
that you have read, understood, and agree to be bound by these Terms. If
you do not agree, do not use the Platform.
2. Eligibility
To use the Platform, you must:
- Be at least 13 years of age.

Provide accurate, complete, and current information during
registration and keep it up to date.

Have the legal capacity to enter into a binding agreement in your
jurisdiction.

Not be banned or previously removed from the Platform by Kadû.
Kadû reserves the right to refuse access or terminate accounts at its
discretion, including where eligibility requirements are not met.
3. What the Platform Is
Kadû is a marketplace platform, not a service provider.
We connect Customers who need work done with independent Contractors
who perform services, and with Partner businesses that supply
materials. Kadû is not a party to any service agreement between users
and is not the employer, agent, or representative of any Contractor.
Current Phase (Waitlist)
The Platform is currently in a waitlist phase. No jobs are posted, no
payments are processed, and no contractors are dispatched during this
phase. By joining the waitlist, you are expressing interest in the
Platform and providing information to help us prepare for launch.
Future Marketplace Phase
When the live marketplace launches, Customers will be able to post
jobs, Contractors will submit offers, and payments will be facilitated
through the Platform. Additional terms specific to live marketplace
activity will apply at that time and will be communicated clearly
before activation.
4. Accounts and Registration

One account per role per person. You may not create
multiple accounts for the same role or allow others to use your
account.

Account security. You are responsible for maintaining
the confidentiality of your account credentials and for all activity
that occurs under your account. Notify us immediately at
[email protected] if you suspect
unauthorized access.

Accurate information. You must not impersonate any
person or entity or provide false information during registration or
while using the Platform.

Role-based access. Access to each role (Customer,
Contractor, Partner) requires separate approval. Approval for one
role does not automatically grant access to another.
5. Prohibited Activities
You agree not to:

Harass, threaten, intimidate, or discriminate against any user based
on race, gender, religion, nationality, disability, sexual
orientation, or any other characteristic.

Use the Platform for any unlawful purpose or in violation of any
applicable local, national, or international law or regulation.

Attempt to circumvent the Platform by arranging payments or service
agreements with other users outside of Kadû after making contact
through the Platform.
-
Submit false, misleading, or fabricated reviews, ratings, or
information about yourself or other users.
-
Interfere with or attempt to disrupt the Platform, its servers, or
any systems connected to it.
-
Use automated tools, bots, scrapers, or scripts to access, collect
data from, or interact with the Platform.
-
Attempt to gain unauthorized access to other users’ accounts or
any non-public portion of the Platform.
-
Post or transmit any content that is abusive, obscene, defamatory,
fraudulent, or otherwise objectionable.
Violations may result in immediate account suspension or permanent
termination without notice.
6. Contractors — Independent Service Providers
Contractors on the Kadû Platform are independent service providers, not
employees, partners, or agents of Kadû Inc. By registering as a
Contractor, you acknowledge that:

You are solely responsible for the quality, timeliness, and safety of
the services you provide.

You are responsible for your own tools, equipment, transportation, and
any materials not separately sourced through the Platform.

You are responsible for compliance with all applicable local laws,
licensing requirements, and professional standards for your trade.

You are solely responsible for your own tax obligations arising from
income earned through the Platform.
-
Kadû does not guarantee a minimum number of jobs, offers, or earnings.
7. Payments
This section applies when the live marketplace phase is active. It does
not apply during the current waitlist phase.

Platform payments only. All payments for services
arranged through the Platform must be made through the Platform.
Off-platform payment arrangements entered into after contact is made
through Kadû are a violation of these Terms and void any dispute
protections available to either party.

Fee disclosure. All applicable fees (including Kadû’s
service fee) are disclosed clearly before a Customer confirms and
funds a job. By confirming, you agree to those fees.

Kadû service fee. Kadû’s service fee is
non-refundable once a job is funded, except where Kadû determines
otherwise as part of a dispute resolution outcome.

Refunds. Refunds are not issued unilaterally. They
are determined through the dispute resolution process described in
Section 8.

Third-party payment processors. Payments are
processed by third-party providers (including Stripe and Mobile Money
operators). Their terms and policies apply to payment processing.
Kadû is not responsible for errors or delays caused by payment
processors.

Contractor payouts. Earnings are held in your Kadû
wallet and become available for withdrawal following the applicable
hold period after job completion. Withdrawal terms may be updated
from time to time and will be communicated within the Platform.
8. Disputes Between Users
Kadû encourages users to resolve disputes between themselves directly
through the Platform’s messaging tools. If a resolution cannot be
reached, either party may open a formal Case through the Platform.

Case review. Kadû’s support team will review
the evidence submitted by both parties — including notes, photos,
videos, job records, and communications — and make a determination.

Decisions. Kadû’s determination on disputes is
final within the Platform. Kadû reserves the right to issue refunds,
adjust payouts, suspend accounts, or take other remedial action based
on case findings.

No guarantee of outcome. Opening a Case does not
guarantee a refund or any particular outcome. Kadû aims to be fair
to all parties based on the evidence available.

External remedies. Nothing in these Terms prevents
either party from seeking remedies available to them under applicable
local law.
9. Ratings and Reviews

Reviews and ratings must be honest, accurate, and based on your
genuine experience with the other party.

You must not offer incentives to another user to alter or remove a
review, or pressure them in any way regarding their rating.

Kadû may remove reviews that violate these Terms, contain abusive
content, or are determined to be fraudulent.

Kadû does not edit or alter the content of reviews; we only remove
those that violate our guidelines.
10. Intellectual Property
The Platform — including its design, code, trademarks, logos, and
content — is owned by Kadû Inc. and protected by applicable intellectual
property laws. You may not copy, reproduce, distribute, or create
derivative works from the Platform without our express written
permission.
Content you create and submit through the Platform (such as profile
photos, job descriptions, and work submission photos) remains yours.
By submitting it, you grant Kadû a non-exclusive, royalty-free,
worldwide license to use, store, display, and reproduce that content
solely as necessary to operate and improve the Platform.
11. Limitation of Liability
To the maximum extent permitted by applicable law, Kadû Inc. and its
officers, directors, employees, and agents will not be liable for any
indirect, incidental, special, consequential, or punitive damages
arising from your use of the Platform, including but not limited to
loss of profits, loss of data, or service interruptions.
In cases where liability cannot be fully excluded by law, Kadû’s
total liability to you for any claim arising from your use of the
Platform will not exceed the total amount you paid through the Platform
in the twelve (12) months preceding the claim.
Kadû does not guarantee the availability, quality, safety, or legality
of services performed by Contractors. We are a marketplace and are not
responsible for the actions or omissions of independent Contractors or
Partner businesses.
12. Indemnification
You agree to indemnify, defend, and hold harmless Kadû Inc. and its
officers, directors, employees, and agents from and against any claims,
damages, losses, liabilities, and expenses (including reasonable legal
fees) arising out of or related to: (a) your use of the Platform; (b)
your breach of these Terms; (c) your violation of any applicable law or
third-party right; or (d) any content you submit through the Platform.
13. Account Termination

By Kadû. We may suspend or permanently terminate
your account at any time, with or without notice, if we determine
that you have violated these Terms, engaged in fraudulent or harmful
activity, or for any other reason at our discretion.

By you. You may close your account at any time by
contacting us at
[email protected]. Pending
obligations (such as active jobs or outstanding payments) must be
resolved before deletion is finalized.

Effect of termination. Upon termination, your right
to use the Platform ceases immediately. Sections of these Terms that
by their nature should survive termination (including Sections 10, 11,
12, and 15) will continue to apply.
14. Changes to These Terms
We may update these Terms from time to time. When we do, we will update
the “Last updated” date at the top of this page. For
material changes, we will notify you through the Platform or by other
means before the changes take effect. Your continued use of the Platform
after updated Terms are posted constitutes your acceptance of the
revised Terms.
15. Governing Law
These Terms are governed by and construed in accordance with the laws
of the State of Delaware, United States of America, except where
mandatory consumer protection laws in your country of residence require
otherwise. Nothing in these Terms is intended to limit or waive any
rights you have under the laws of your own jurisdiction.
